These Terms and Conditions (“Terms”) apply to all orders for products and services supplied by [DSK Holdings Ltd] (“we”, “us”, “our”). By placing an order with us, you agree to be bound by these Terms.
1. Definitions
Customer / You / Your: The person or business placing an order.
Goods / Products: Clothing and other items supplied by us, including customised items.
Artwork: Any logo, design, image, text or file supplied by you for personalisation.
Order: Your request to purchase Goods.
Contract: The legally binding agreement formed when we issue an Acceptance Email.
Personalised Products: Any Goods that include printing, embroidery, or other customisation.
2. Contract Formation
2.1 Orders may be placed online, by email, or by telephone.
2.2 Your Order constitutes an offer to purchase Goods on these Terms.
2.3 A Contract is formed only when we send written confirmation accepting your Order (“Acceptance Email”).
2.4 Payment must be received in full before production begins unless agreed otherwise in writing.
2.5 We reserve the right to refuse or cancel any Order at our discretion, including (but not limited to) where:
Goods are unavailable
Pricing errors occur
Artwork breaches our Personalisation Standards
We suspect fraudulent activity
3. Pricing and Payment
3.1 Prices are as displayed at the time of Order and may change without notice.
3.2 All prices are exclusive of VAT unless stated otherwise. VAT will be added where applicable.
3.3 If a pricing error is identified, we may cancel the Order and refund any payment made.
3.4 Business customers with agreed credit terms must pay in accordance with those terms.
3.5 Late payments will incur interest at 8% per annum above the Bank of England base rate, accruing daily.
3.6 Ownership of Goods remains with us until full cleared payment is received.
4. Personalisation & Artwork
4.1 By submitting Artwork, you confirm:
You own or are licensed to use the Artwork
It does not infringe intellectual property rights
It complies with all laws
4.2 You agree to fully indemnify us against any claims arising from your Artwork.
4.3 We may refuse to print Artwork that is:
Offensive, obscene, defamatory, discriminatory or unlawful
Infringing third-party rights
Likely to bring us into disrepute
4.4 Colours and positioning may vary slightly from on-screen previews. Minor variations do not constitute defects.
4.5 We are not responsible for poor-quality results caused by low-resolution or unsuitable Artwork files.
4.6 Once artwork approval is given, production will proceed. Amendments after approval may incur charges and delay dispatch.
4.7 We retain ownership of all digitised embroidery files, artwork setups, and production files created by us.
5. Production & Dispatch Times
5.1 Production times are estimates only and not guaranteed unless expressly stated in writing.
5.2 Time is not of the essence for delivery.
5.3 We are not liable for delays caused by:
Courier failures
Supply chain disruption
Events beyond our reasonable control
5.4 Express services (if offered) are subject to specific express terms.
6. Delivery
6.1 Delivery occurs when Goods are delivered to the address provided.
6.2 Risk passes to you upon delivery.
6.3 Any shortages, damages or incorrect items must be reported within:
48 hours by phone or email
Confirmed in writing within 3 working days
6.4 If delivery fails due to incorrect address or absence, redelivery charges may apply.
6.5 We are not responsible for goods left in safe places at your request.
7. Cancellation & Returns
7.1 Personalised Products
Personalised Products are non-refundable and non-cancellable once production has begun.
7.2 Blank (Non-Customised) Products – Consumers Only
If you are a consumer purchasing non-personalised Goods, you may cancel within 14 days of receipt under the Consumer Contracts Regulations. Goods must be returned unused and in original packaging at your cost.
7.3 Faulty Goods
If Goods are faulty or materially not as described:
You must notify us promptly
We may inspect the Goods
We may repair, replace or refund at our discretion
We are not responsible for damage caused by misuse, washing errors, alterations, or fair wear and tear.
8. Intellectual Property
8.1 All website content, branding, imagery and product descriptions remain our property.
8.2 You may not copy, scrape, reproduce or distribute any content without written permission.
8.3 You grant us a limited licence to use submitted Artwork for:
Producing your order
Marketing examples (unless you request otherwise in writing)
9. Website Use
9.1 You must not use our website:
For unlawful purposes
To upload harmful or malicious code
To scrape or duplicate content
To infringe third-party rights
9.2 We may suspend or terminate access without notice if you breach these terms.
10. Limitation of Liability (Business Customers)
10.1 Nothing excludes liability for:
Death or personal injury caused by negligence
Fraud
Statutory rights that cannot be excluded
10.2 We shall not be liable for:
Loss of profits
Loss of business
Loss of data
Indirect or consequential losses
10.3 Our total liability shall not exceed the total amount paid under the Contract.
11. Indemnity
You agree to indemnify and hold us harmless against all claims, losses, damages, costs and legal fees arising from:
Your breach of these Terms
Your Artwork
Misuse or resale of Goods
12. Force Majeure
We are not liable for delay or failure caused by events beyond our reasonable control, including:
Strikes
Transport disruption
War
Pandemic
Government restrictions
Supplier failure
If such an event continues beyond 30 days, either party may cancel affected orders.
13. Transfer of Rights
We may transfer our rights and obligations under the Contract. You may not transfer yours without our written consent.
14. Severability
If any provision is found unlawful or unenforceable, the remaining provisions remain valid.
15. Governing Law
These Terms are governed by the laws of England and Wales. Business customers submit to the exclusive jurisdiction of the courts of England and Wales. Consumers submit to the non-exclusive jurisdiction of the courts of England and Wales.
